Anthropic has filed its S-1 prospectus with the Securities and Exchange Commission, moving the maker of Claude ahead of OpenAI in the race to go public. The company said in the filing that it plans to list on the Nasdaq exchange under the ticker symbol ANT, according to the document made public on Oct. 26, 2026.
The AI developer had confidentially submitted paperwork to the SEC earlier this year, in June, but the public prospectus discloses fuller financial results and the company's own account of its plans and the risks investors would face. For the first half of this year, Anthropic reported a net loss of $80.7 billion on revenue of $16.3 billion. The Wall Street Journal had previously reported, based on leaked versions of the document, that most of the loss stems from accounting charges tied to notes the company issued to raise funding.
The filing also details billions of dollars in compute agreements Anthropic has signed to power its AI. Those include roughly $3.1 billion per month to SpaceX for access to Nvidia GPUs once all planned capacity is delivered, a total of as much as $120.5 billion by 2029. Anthropic also committed $44.9 billion to Microsoft through 2033, at least $114.5 billion to Google through 2033, and $110 billion to Amazon over the next ten years.
In the document, Anthropic describes AI as one of the most consequential technologies in human history, saying that if it is managed well it could speed scientific innovation, raise economic growth rates, put cures for major diseases within reach and solve problems that have resisted generations of effort. The company said it aims to capture those benefits while navigating and preventing the risks of a revolution moving this fast and this powerful. It told prospective investors there are four things it wants them to understand: AI's potential, the risks that must be addressed, Anthropic's approach to building and operating the company, and how its behavior may differ from that of a purely profit-maximizing business.
Executive pay is also disclosed. Cofounder and chief executive Dario Amodei received total compensation of nearly $18 million in 2025, mostly in stock and option awards. His sister Daniela Amodei, also a cofounder and the company's president and director, was the second highest-paid executive, at $16.4 million in 2025.
The prospectus lists a long set of risk factors, including the possibility that Anthropic's AI models develop forms of sentience, AI-specific taxes, and unfavorable outcomes in the many copyright disputes over how its models are trained. The company also warned of the risk of catastrophic AI-related incidents, and said it was likely that no single insurer, and potentially the insurance industry in the aggregate, could underwrite such risk.
